Client Services Agreement

This agreement (“Agreement”) is entered into between Skylight Technologies, Inc. (“Skylight”), and You (“Client”).  This Agreement includes and incorporates (i) Skylight’s Terms of Use, which are set forth at https://getskylight.com/legal/terms-of-use, (ii) the Skylight Service Order Form (“Order Form(s)”) provided to you by Skylight and (iii) any Order Form(s) previously or subsequently entered into by the parties, all of which are hereby incorporated by reference.  This Agreement contains, among other things, warranty disclaimers, liability limitations and use limitations.  Any term not defined hereunder shall have the meaning given to it in the applicable Order Form or Skylight’s Terms of Use.

Lease

For the purposes of this Agreement and related Order Form(s), a “Lease” means a lease transaction eligible for commission entered into between the Client and a tenant where (i) such tenant (or representative of tenant) identifies the Skylight Listing Platform as the tenant’s source for contacting the Client or (ii) where a Skylight provided the first tour of the Service Location for such tenant. For the avoidance of doubt, Skylight will be deemed to have provided the first contact with the tenant if no earlier lead source was identified in the six months prior to the tenant’s move-in date; or Skylight’s records indicate Skylight is the earliest source for the tenant to tour the Service Location. Skylight is not obligated to provide any additional lead conversion services.

Reported Lease

For the purposes of this Agreement and related Order Form(s), a “Reported Lease” means a Lease reported (i) by Client to Skylight through an automated tracking process; or (ii) through Client’s monthly reporting obligations (provided below) and matched to a Renter. During the Term, Client will pay Skylight for each Reported Lease. Additional properties may be added as Service Locations by Client at any time by emailing sales@getskylight.com and contacting Skylight’s sales representative directly, and any additional properties will be governed by the terms of this Agreement. Client will be billed for all Reported Leases in an applicable month after the end of the month. For clarity, Client will be billed for all Leases in which Skylight was the lead conversion source, including for any other properties owned or managed by Client.

Reporting Obligations

Client will provide to Skylight all available guest access cards and lease information via an application programming interface (“API”) integration supported by Skylight. If such integration is not available for any reason, Client may, with Skylight’s prior written consent, alternatively provide, no later than 10 days after the end of each calendar month, a complete and accurate list of all new renters for each Service Location in Microsoft Excel format or another format specified by Skylight. This list shall include all information necessary, including (i) Name of Service Location; (ii) Renter’s first and last name; (iii) all known Renter phone numbers (cell, home, work, etc.); (iv) all known Renter e-mail addresses; (v) Lease term; (vi) and any other relevant information reasonably requested by Skylight. Client agrees to use good faith efforts to verify Renters and Leases, and to dedicate appropriate business and technical resources to the verification process. For disputes related to or in connection with lease reporting, upon request by Skylight, Client will provide Skylight with sufficient details to validate such dispute, including but not limited to providing Skylight access to supporting APIs. Skylight shall work with Client in good faith to resolve any such dispute, provided Skylight is notified of such dispute prior to the due date of the applicable invoice.

General Terms

Skylight shall be responsible for paying Commissions to Agents and Client shall bear no responsibility for Agent Comississions, provided Client is and has been in compliance with the applicable terms and conditions herewith. There shall be no force or effect to any different terms of any related service order or similar form even if signed by the parties after the date hereof.
